Terms of Use

These Terms of Use ("Terms") are an agreement between you and Agentizer, LLC, a Delaware limited liability company that operates Bluedeer ("Bluedeer", "we", "us", or "our"), and they govern your use of our mobile applications and website at bluedeer.ai (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle your information.

1. Who can use Bluedeer

You must be old enough to consent to the processing of your personal data in your country (for example, at least 13 in the United States or 16 in parts of the European Union) to use the Service. If you are under the age of majority where you live, you may use the Service only with the permission of a parent or legal guardian.

If you use the Service on behalf of an organization, such as in a team workspace, you confirm that you are authorized to accept these Terms for that organization.

2. Your account

You are responsible for the information you provide, for keeping your sign-in credentials secure, and for activity under your account. We recommend turning on two-factor authentication. Contact support@bluedeer.ai right away if you believe your account has been compromised.

3. The Service and AI output

Bluedeer is an AI assistant. Responses are generated automatically by AI models and can be inaccurate, incomplete, or out of date. Check important information before relying on it. AI output is not professional advice, including medical, legal, financial, or tax advice.

When you ask the assistant to take an action, such as sending an email, changing a document, posting a message, or running a scheduled task, you are responsible for that action. Review actions before you approve them.

We may add, change, or remove features, AI models, and integrations over time. Some features may be labeled as previews and may change or stop working.

4. Your content

You keep ownership of the content you submit to the Service and the output generated for you ("Your Content"). You give us permission to host, store, process, transmit, and display Your Content only as needed to provide the Service to you and the people you share it with, as described in our Privacy Policy. We do not use Your Content to train AI models.

You are responsible for Your Content and confirm that you have the rights needed to submit it. Output generated for you may be similar to output generated for others.

5. Acceptable use

You agree not to use the Service to:

  • Break the law or violate the rights of others, including privacy and intellectual property rights
  • Create or share content that sexually exploits minors, promotes violence or terrorism, or harasses, threatens, or defrauds others
  • Send spam or unsolicited messages through connected integrations
  • Develop malware, attack systems, or gain unauthorized access to any account, system, or data
  • Interfere with the Service, bypass usage limits or security measures, or access the Service by automated means other than the features we provide
  • Resell or redistribute the Service without our permission
  • Violate the usage policies of the AI model providers that serve your requests

6. Integrations and third-party services

The Service can connect to third-party services such as Google, Notion, Jira, and Slack. Your use of those services is governed by their own terms. When you connect an integration, you authorize the assistant to access and act on your data in that service as you request. You can disconnect an integration at any time. We are not responsible for third-party services.

7. Team workspaces

A team workspace is controlled by its owners and admins, who manage its members, roles, seats, and billing. Content in a workspace is visible according to its sharing setting, as described in our Privacy Policy. The team that owns a workspace is responsible for how its members use it.

8. Plans, subscriptions, and billing

Paid plans. Some features require a paid plan or team seats. Plan features and prices are shown in the app before you buy.

Where you buy. You can buy a subscription through the Apple App Store, Google Play, or our website, where payments are processed by Stripe. Purchases through the App Store or Google Play are also subject to Apple's or Google's terms.

Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current price unless you cancel. For App Store purchases, payment is charged to your Apple Account at confirmation of purchase, and the subscription renews unless auto-renew is turned off at least 24 hours before the end of the current period; your account is charged for renewal within 24 hours before the end of the current period. Google Play and Stripe subscriptions renew on the same schedule shown at checkout.

Cancellation. Cancel where you bought the subscription:

  • Apple App Store: Settings › your name › Subscriptions on your iPhone or iPad
  • Google Play: Play Store › Payments & subscriptions › Subscriptions
  • Web (Stripe): Settings › Plan & billing in Bluedeer, which opens the Stripe billing portal

Deleting the app or your Bluedeer account does not cancel a store subscription. After you cancel, you keep access to paid features until the end of the current billing period.

Refunds. Except where required by law or by the applicable app store's policy, payments are non-refundable. Refunds for App Store purchases are handled by Apple, and refunds for Google Play purchases are handled by Google under their policies.

Price changes. We may change prices. We will tell you before a price change applies to your subscription, and the app stores may ask you to agree to the new price.

9. Usage allowances and fair use

Each plan includes usage allowances for AI requests and other resources. To keep the Service reliable and fair for everyone, we may apply fair-use limits, slow down, or temporarily pause usage that is unusually high or that strains the Service. The app tells you when you reach a limit.

10. Our intellectual property

The Service, including its software, design, and branding, belongs to Bluedeer and its licensors. These Terms give you a personal, non-exclusive, non-transferable, revocable license to use the Service as permitted here. If you send us feedback, we may use it without obligation to you.

11. Suspension and termination

You can stop using the Service and request account deletion at any time, as described in our Privacy Policy. We may suspend or end your access if you violate these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will tell you before we do so.

12. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted, error-free, or that AI output will be accurate.

13. Limitation of liability

To the fullest extent permitted by law, Bluedeer will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and USD 100.

Some jurisdictions do not allow these limitations, so they may not apply to you. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

14. Apple App Store terms

If you downloaded Bluedeer from the Apple App Store:

  • These Terms are between you and Bluedeer, not Apple. Apple is not responsible for the app or its content.
  • Your license to use the app is limited to Apple-branded devices you own or control, as permitted by the App Store's Usage Rules.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation for the app.
  • Apple is not responsible for addressing claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer protection claims, or intellectual property infringement claims.
  • You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Delaware, and you and Bluedeer consent to the personal jurisdiction of those courts. Nothing in these Terms removes mandatory protections you have under the laws of the country where you live.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top and, where appropriate, notify you in the app or by email. Continued use of the Service after the changes take effect means you accept the updated Terms.
